Terms and conditions

This is a translation for convenience. The Danish version is the legally binding one: Handelsbetingelser. In case of any discrepancy, the Danish text prevails.

Last updated: 24 September 2026. Applies to agreements entered into from that date.

1. Who the agreement is with

NVA-DESIGNS v/ Nicklas Andreasen, CVR (the Danish business registration number) 46755197, Orionvej 87, 4700 Næstved. These terms apply to all assignments unless something else is stated in writing in the quote.

2. Quote and agreement

You receive a written quote with a fixed price and a description of what is included. The quote is valid for 30 days.

Before you decide, you get a draft of the site through a link. The draft is front end only: look and layout, with no features or system behind it. It costs nothing, whatever the assignment.

If you want to go ahead, you accept the quote in writing. An email is enough. Only then is the agreement entered into, and from then on you are liable for the agreed price in full. If you are a private individual, this applies subject to your right of withdrawal under clause 12. If you say no, there is no agreement, and you pay nothing.

Web app. A web app can only be assessed once the back end has been set up. This is done in a technical review, which is an agreement of its own and is entered into when you order it in writing after the draft. It costs 3,900 DKK excl. VAT (4,875 DKK incl. VAT). You then assess the web app and receive a quote with a fixed price that includes the review. If you say yes, you accept the quote in writing as above, and the review is paid as part of the fixed price — also if you choose the instalments under clause 3. If you say no, or do not accept the quote before it expires, you pay only for the review. It is then invoiced on its own as the full amount under clause 3 and without the discount on the first assignment. If you are a private individual, the right of withdrawal under clause 12 also applies to the review.

3. Prices and payment

The prices for assignments and the hourly rate are in Danish kroner and are stated excluding VAT with the amount including 25% VAT alongside — an assignment at 7,000 DKK excl. VAT costs 8,750 DKK incl. VAT. Support under clause 9 costs 399 DKK per month incl. VAT with no tie-in or 299 DKK per month incl. VAT with a tie-in under clause 9b. You can pay in two ways, and you choose when you accept the quote.

Discount on the first assignment. Your first assignment gets a 25% discount on the fixed price of the assignment. The first assignment is the first website, online shop, web app or redesign you enter into an agreement with me about, and the discount is given once per customer. It does not apply to support, the hourly rate or a technical review paid for on its own under clause 2. For a web app the discount is calculated on the whole fixed price, which includes the review. The quote shows the price before and after the discount. If you choose the instalments, they are calculated on the price after the discount.

The full amount. Invoiced when the agreement has been entered into under clause 2. The payment deadline is 8 days. In the event of late payment, interest is added in accordance with renteloven (the Danish Interest Act).

36 instalments. The price is divided into 36 equal monthly instalments. Neither interest nor fees are added to the instalments, so the 36 instalments together are the agreed price. The instalments are a package: the assignment and support under clause 9 at 299 DKK per month incl. VAT, tied in for the instalment period under clause 9b. The support is paid in addition to the instalments. The first instalment falls due when the agreement has been entered into under clause 2, and the remaining ones on the same day in each of the following 35 months.

This form of payment is offered only to businesses with an active CVR number. If you pay the full amount, anyone can buy, including private individuals, and the support is optional — see the price in clauses 9 and 9b.

3a. Ownership while the instalments are running

If you choose the instalments, the website remains my property until the final instalment has been paid. Domain, web hosting, SSL and email, by contrast, are registered in your name from the first day under clause 9a. They are your own subscriptions and are included neither in the instalment nor in the support.

You can settle the instalments at any time by paying the amount that remains of the agreed price. No fees or surcharges are calculated for doing so. The website is handed over when the payment has been received. If you have terminated the support, it ends at the end of the month in which the outstanding amount is settled (clause 9b).

When the final instalment has been paid, the website is transferred to you under clause 8 with all access credentials, documentation and receipts. Domain, web hosting and email are already registered in your name and do not have to be transferred. If you have terminated the support, it ends at the end of the month in which the final instalment is paid (clause 9b).

If an instalment or a payment for the support is outstanding more than 30 days after a written reminder, I may suspend the agreement and take the website offline. If you pay the amount owed within 14 days thereafter, it is put back up free of charge.

4. What you must supply

You supply text, images, logo and access credentials. If the material arrives later than agreed, delivery is postponed correspondingly. You warrant that you have the right to use the material you send me.

5. Changes along the way

If you want something that goes beyond what has been agreed, you receive a price for it before I start. You decide whether it is to be included.

6. Delivery and approval

The time of delivery is stated in the quote. If your material arrives later than agreed, delivery is postponed correspondingly, cf. clause 4.

When the work is finished, we go through it together. You have 10 working days to report faults and defects. After that, the delivery is regarded as approved. If you are a private individual, the deadline does not limit your rights under the law.

7. Corrections after delivery

For 30 days after delivery I fix faults in what I have built free of charge. If you have support under clause 9, that also applies after that period. New wishes and new content are not faults. Minor corrections under clause 9 are included in the support, and everything else is charged separately.

8. Copyright and ownership

When the entire invoice has been paid, I transfer the copyright in the finished website to you: code, design and the content I have made for you. You are free to change, develop further, resell or let another developer take over the work without asking me. Domain, web hosting and email are registered in your name under clause 9a, and you receive all access credentials. If you have chosen the instalments, the transfer takes place under clause 3a. I retain the right to use the work as a reference in my portfolio unless we agree otherwise in writing.

For the assignment I also use general building blocks that I have built in advance and reuse across clients (build tool configuration, form and layout components, animation and layout helpers). I retain the right to reuse those, but you receive a perpetual, irrevocable, transferable and royalty-free right to use, change and redistribute them as part of your solution, including if you sell the business or change developer. There is no ongoing payment for it, and they contain no technical locks that require my involvement. If I use third-party open source components, I state their licence upon delivery.

9. Support

Support covers updates and backup, minor corrections and fault fixing on the website I have built or worked on for you, or that I look after for you under clause 9b. It costs 399 DKK per month incl. VAT with no tie-in or 299 DKK per month incl. VAT with a tie-in. When each price applies, and how long the tie-in runs, is set out in clause 9b.

Minor corrections are individual changes to text, images and information on the pages that exist. Rewriting whole pages is a larger change. Fault fixing means fixing faults in what I have delivered. It is done free of charge, including after the 30 days in clause 7.

New pages, new features and larger changes are not included. You receive a price for them under clause 5 before the work starts. The hourly rate is 695 DKK excl. VAT (868.75 DKK incl.). If you do not have support, the same applies to corrections after the 30 days in clause 7.

Domain, web hosting, SSL and email are not included. They are your own subscriptions under clause 9a. The support has no response times and is no guarantee against downtime.

The support runs from the day the website is delivered — for a website I have not built, from the day the support agreement is entered into — and is invoiced monthly in arrears with a payment deadline of 8 days. It is terminated in writing, including by email. With no tie-in, it is terminated with the current month plus one month: if you terminate in March, it ends at the end of April.

If a payment for the support is outstanding while the instalments are running, clause 3a on an outstanding instalment applies. In other cases, for example when the full amount or the final instalment has been paid, the support may end if the payment is outstanding more than 30 days after a written reminder. The amount owed must still be paid.

9a. Domain, web hosting, SSL and email

Domain, web hosting, SSL certificate and email are your own subscriptions. They are set up in your name with a provider of your choice, and you pay for them directly to the provider. They are not invoiced by me, and they are not included in any price in the quote.

I set them up and configure them as part of the assignment. Updates to what I have built on them are included in the support under clause 9. The agreement with the provider is yours — also while the instalments are running under clause 3a. If you already have a setup, I build to that instead.

You are responsible yourself for renewing and paying for the subscriptions. If they are not renewed, the site may go offline, without my being able to prevent it.

9b. Support with and without a tie-in

Support comes in three forms:

If you are a private individual, the 12 months do not apply. Under section 28 of forbrugeraftaleloven (the Danish Consumer Contracts Act) you can terminate the support with one month's notice to the end of a month once 5 months have passed since the agreement was entered into. That right cannot be waived and applies regardless of what else has been agreed. You pay 299 DKK for each month until the termination takes effect — at least 6 months, at least 1,794 DKK incl. VAT in total, unless you withdraw under clause 12. No fee is charged on termination, and the difference to 399 DKK is not reclaimed.

When the tie-in expires, the support continues at 299 DKK per month incl. VAT for as long as it runs without interruption, and is terminated with the current month plus one month. The price does not rise on its own. If you terminate the support and choose it again later, that is a new agreement under this clause.

10. Liability

I am liable under the general rules of Danish law, but never for indirect loss, operating loss or lost profit. My total liability cannot exceed the amount you have paid for the assignment. If you are a private individual, the limitation does not apply to the extent that the law gives you a better legal position.

I am not liable for downtime, faults or changes at the provider you have chosen. The agreement with the provider is yours, and my liability covers what I have built.

11. Confidentiality

Everything you tell me about your business is treated confidentially.

11a. Data processing agreement

If I am given access to personal data for which you are the data controller, we enter into a data processing agreement under Article 28 of the General Data Protection Regulation before I am given that access. The agreement is attached to the quote. The providers of domain, web hosting and email under clause 9a are your own suppliers and not my sub-processors.

12. Withdrawal

Agreements between businesses are not covered by the right of withdrawal under forbrugeraftaleloven (the Danish Consumer Contracts Act).

If you are a private individual, you have a 14-day right of withdrawal from the conclusion of the agreement. The right of withdrawal only lapses when the assignment has been fully performed, and only if you have expressly requested in advance that I begin the work before the expiry of the deadline, and have acknowledged that the right of withdrawal ends when the assignment has been delivered. You must confirm both actively and in writing — it is not enough that it is stated here.

If you wish to withdraw, you write to me at information@nva-designs.dk or to Orionvej 87, 4700 Næstved before the deadline expires. Any unequivocal message is enough — you need neither a particular wording nor a particular channel. You can use the form in clause 12a, but you do not have to.

If you have expressly asked for the work to begin before the expiry of the deadline, and you withdraw after it has begun, but before it has been fully performed, you pay for the part of the work that has been carried out. The amount is calculated proportionately from the agreed price according to how large a part of the assignment has been done, and it cannot exceed the agreed price. If there is no agreed fixed price, payment is calculated at the hourly rate in clause 9. The amount is also stated in the quote. If you have not asked for this, you pay nothing for the work carried out.

If you have paid before you withdraw, you get the money back without undue delay and no later than 14 days after I have received your message. The refund is made using the same means of payment as the one you paid with, unless we agree otherwise, and it costs you no fees. If you have to pay for the part of the work that has already been carried out, that amount is set off.

If you choose support as a private individual, the right of withdrawal also applies to the support for 14 days from the day you chose it. If you have asked for the support to begin before the expiry of the deadline, you pay for the part of the period that has elapsed if you withdraw. If you withdraw from the agreement on the assignment, the support lapses free of charge.

12a. Standard withdrawal form

The form here is only filled in and sent if you want to use it. An ordinary email is just as good.

To NVA-DESIGNS v/ Nicklas Andreasen, Orionvej 87, 4700 Næstved, information@nva-designs.dk:

I hereby give notice that I exercise my right of withdrawal in connection with my contract for the supply of the following service: ______
Ordered on: ______
Consumer's name: ______
Consumer's address: ______
Consumer's signature (only if the content of the form is notified on paper): ______
Date: ______

12b. Refunds outside the right of withdrawal

Outside the right of withdrawal, an amount is not refunded because you regret your choice. That also applies to agreements between businesses, which have no right of withdrawal.

If there are faults or defects in what I have delivered, that is a different matter. In that case clause 7 and the general rules of Danish law on defects apply — including a reduction of the price or termination of the agreement if the defect is material. That is not affected by the paragraph above.

13. Disputes

The agreement is governed by Danish law. If we cannot agree, you write to me first — most things can be resolved there. If we get no further, the case is decided by byretten (the district court) in Næstved. If you are a private individual, the agreement on venue does not apply; the matter is then decided under the general rules of retsplejeloven (the Danish Administration of Justice Act).

If you are a private individual, you can complain about a service to Mæglingsteamet for Forbrugerklager og Forbrugerklagenævnet (the Danish mediation team for consumer complaints and the Danish Consumer Complaints Board), Nævnenes Hus (the Danish Appeals Boards Authority), Toldboden 2, 8800 Viborg, naevneneshus.dk. Monetary thresholds apply, and a fee must be paid to complain. Agreements between businesses are not covered.
